Clients: Terms & Conditions of Trade

Client: The person, company or organisation placing the order and being responsible for payment.

Company: Fotographic Images 4U Ltd.

  1. The content of this web site belongs exclusively to the company, Fotographic Images and John Fairclough . Included in the word "content" is the web site in its entirety, including but not limited to the ergonomic design, working design, clients images, text, graphics, client & contributor documents, and trademarks, but excludes the web site design software.
  2. All prices quoted, displayed or invoiced by the company exclude carriage and Vat, unless otherwise stated and agreed in writing.
  3. Payment for all orders is with order, unless an official credit account is in operation and current. Credit accounts can only be applied for by completing an official credit application form. This application form must be signed, printed and sent to the company. All official credit accounts operate on a strict 30 days from the date of invoice. Should an invoice/credit account not be paid in full, the company reserves the right to pursue the remaining monies owed, and to charge an interest rate of 4% above the base rate of the "National Westminster Bank Plc". Also chargeable are any collection or legal expenses incurred due to the failure to pay the account on time.
  4. The company is privately limited under the laws of England & Wales, and is governed by the effective laws. The total  interlectual properties and any other content of this web site, and all the materials contained within it, are protected by the "Copyright and Patent Act 1988".
  5. All images purchased are sold/leased under the strict understanding that the image(s) in their entirety cannot be re-sold, leased, or transferred in ownership to any other party by the client.
  6. If when any images or prints are being delivered, and are seen to be damaged upon delivery, they must be signed for stating "damaged" with the appropriate time and date. All damaged products must be reported within one working day of the receipt of delivery.
  7. The company will at all times use reasonable efforts to ensure the accuracy, correctness, and reliability of all images, information, and data which is either displayed or offered for sale. We make no guarantees or warranties as to the accuracy of the images or information, which is either displayed or offered for sale.
  8. The company will at all times do its utmost to convey 100% accurate information and documentation, such as image data, property and model releases etc. If any such information provided is later found to be inaccurate or incorrect, the company cannot be, in any way, held responsible or liable. All data and information is conveyed as a gesture of good will by the company and from the appropriate contributor.
  9. The operations and functions embedded on or in the material displayed or in the design or operation of this site are not warranted to be uninterupted or without error. The company assumes the entire cost of all necessary servicing, repair or corrections to this web site, to enable you to use the site. The company cannot be held responsible or liable for any inconvenience or financial losses caused by any interuption or delay in the workings of this web site.
  10. If at any time it is proven that any unauthorised potential client or clients have conducted, intentionally or otherwise, an action, malicious or otherwise, which has caused or may cause an interuption or damage to this web site, resulting in additional expense being incurred by the company, or a loss of trade of profits, the party who is responsible will be held financially liable.
  11. This document and agreement shall be interpreted, constructed and governed by the laws of England & Wales.
  12. The venues for all disputes, legal or otherwise, arising under and from this agreement shall lie exclusively in the courts of England & Wales, and all parties hereby agrees not to contest the jurisdiction of these courts.
  13. Unless otherwise agreed in writing, for a specific purpose, all or any of these terms of trade may be amended or altered without any prior notice or warning. If any of these terms of trade or any other contractual documents presented upon this site are found to be un-enforcable, wherever possible this will not effect any other clauses and each will remain fully effective and enforcable.
  14. We the company, reserve the right to change any of this web site design, content, prices, or terms of trade, without any prior notice.
  15. The company has decided to totally omit any "links section" from this web site. This may change without prior notice, and yet would still have the right to deny any request for a link to be fitted.
  16. The company will not sell or lease any images, which are or may be categorised as being illegal, immoral, obscene, or pornagraphic. The decision of the company is final.
